To use certain features of Offa, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@offa.app if you become aware of any unauthorised use of your account.

Each User may maintain only one active account. We reserve the right to merge or terminate duplicate accounts.

Offa is a marketplace for the sale of physical goods only. Services, digital goods, and intangible items are not permitted. All items listed must be legal to sell in the United Kingdom and must comply with all applicable laws and regulations.

When creating a listing, you must provide an accurate and honest description, include clear photographs of the actual item, set a fair price, accurately describe the condition, post in the appropriate category, include any known defects, and ensure you have the legal right to sell the item. Each listing must contain only one item unless it is a bundle or set. Duplicate and spam listings are not allowed.

The following may not be listed on Offa:

The sale, rehoming, or exchange of live animals is not permitted on Offa. Listings for pet accessories, supplies, and equipment are permitted.

We reserve the right to remove any listing at any time for any reason, including violations of these Terms, reports from Users, or results from our automated moderation systems.

All transactions are conducted at your own risk. We strongly recommend meeting in a safe, public place for in-person exchanges.

Users should communicate through Offa's messaging system. We are not responsible for arrangements or disputes arising from communications outside the Platform.

Buyers and sellers choose between shipping and local collection. For shipped orders, Offa arranges a prepaid, tracked shipping label through our courier partners; the seller is responsible for dispatching the item promptly and the courier is responsible for carriage. For local collection, buyers and sellers agree a meeting arrangement and confirm the handover in the app. Offa is not itself a courier and delivery timescales are those of the relevant carrier.

Payments on Offa are processed by our payment partner, Stripe. When a buyer pays for an item, the payment (including the buyer protection fee, shown at checkout) is collected in-app and held in accordance with our Buyer Protection Policy: for shipped orders, funds are released to the seller after the protection window following delivery closes; for local collection, funds are released when the buyer confirms the handover in the app; in each case subject to the outcome of any dispute.

To sell on Offa you must set up payouts by connecting a Stripe account and completing Stripe's onboarding and identity verification. Payouts are made by Stripe to the bank account you register with them; Offa never sees or stores your card numbers or bank details.

Arranging payment outside the Platform is at your own risk: off-platform payments are not covered by Buyer Protection and we cannot assist with disputes about them.

Your use of Offa's payment features is subject to these Terms and our Buyer Protection Policy, and to Stripe's own terms — including the Stripe Services Agreement and, for sellers, the Stripe Connected Account Agreement. By using the payment features you also accept those Stripe terms. We may suspend or restrict payment features for a User where required by our payment partner, by law, or to protect Users or the Platform.

When you buy or sell an item using Offa's payment features, you appoint Offa Labs (acting through our payment processor, Stripe) as the seller's limited payment collection agent for the sole purpose of collecting payment from the buyer on the seller's behalf. This does not make Offa a party to the sale itself, which remains a contract between the buyer and the seller (see Section 6 above).

Because we collect on the seller's behalf, your obligation as a buyer to pay the seller is satisfied when your payment is received by Offa (through Stripe), even though the seller does not receive the funds at that moment. Offa then holds those funds, and our obligation to release them to the seller is subject to our buyer protection terms — including release when you confirm receipt or handover, automatic release once the protection window closes, and the outcome of any dispute — as set out in our Buyer Protection Policy and in Sections 6.5 (Payment Services) and 15.3 (Payment Dispute Resolution). If a payment is refunded to the buyer under those terms, the seller has no claim to those funds.

The Platform, including its design, logos, text, graphics, and software, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our express written permission.

You retain ownership of content you post. By posting, you grant Offa Labs a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, adapt, publish, and display your content in connection with operating and promoting the Platform. This licence ends when you delete your content or account.

If you believe content on Offa infringes your intellectual property rights, contact us at legal@offa.app with a description of the right infringed, the infringing material and its location, your contact information, and a good faith statement. We will review all valid reports and take appropriate action.

You retain ownership of any Feedback you send us. By submitting Feedback, you grant Offa Labs a non-exclusive, perpetual, irrevocable, worldwide, royalty-free licence to use, modify, implement, and build on it for any purpose related to our products and business, with no obligation to compensate you, attribute it to you, or treat it as confidential.

Users must treat each other with respect and must not engage in harassment, bullying, threats, or discriminatory behaviour.

Report violations through the in-app reporting feature or at support@offa.app.

When meeting for a transaction: meet in a public place, bring someone with you, inform others of your plans, trust your instincts, and limit personal information shared. Offa is not responsible for incidents during in-person meetings.

You may delete your account at any time through the app settings. Your listings will be removed and personal data handled per our Privacy Notice.

We may suspend or terminate your account at any time for violations of these Terms, fraudulent or illegal activity, extended inactivity, harmful conduct, or at our discretion for community safety.

Upon termination, your right to use the Platform ceases immediately. Provisions that should survive termination will survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.

You agree to use Offa fairly and responsibly, and only for its intended purpose of listing, discovering, and transacting in physical goods with other Users in good faith. You must not use the Platform in any way that compromises, or attempts to compromise, its security, stability, or integrity, or that places an unreasonable or abusive load on our systems.

We may take action against your account where we reasonably believe you have: compromised or attempted to compromise the security, integrity, or proper functioning of the Platform; engaged in conduct that harms, threatens, harasses, defrauds, or otherwise negatively affects other Users; misused our AI, automated, or moderation systems; or otherwise used Offa in a manner that breaches these Terms and puts the Platform or its Users at risk.

Depending on the nature and severity of the issue, we reserve the right to: issue a warning; remove or restrict access to content; limit or suspend account features; suspend or permanently terminate your account in accordance with Section 13 (Termination); report your conduct to the relevant authorities; and/or pursue legal action against you to recover any losses we suffer or to seek any other remedy available to us.

We aim to act reasonably and proportionately, but decisions on whether these Terms have been breached, and what action (if any) to take, are made at our sole discretion. Any action we take under this Fair Usage Policy is in addition to, and does not limit, any other rights or remedies available to us under these Terms or at law.

We encourage Users to resolve disputes directly through the in-app chat first. For purchases paid through Offa, a buyer may open a dispute from the order screen within the protection window; our team reviews the evidence from both sides and decides whether the payment is refunded (in full or in part) or released to the seller, in accordance with our Buyer Protection Policy. For arrangements made outside the Platform, Offa is not a party to the transaction and has no obligation to mediate.

Contact us first at support@offa.app. If unresolved informally, disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

Disputes involving payments processed through Offa must first go through our internal resolution process described in Section 15.1 and the Buyer Protection Policy before any court escalation. This does not limit any statutory rights you may have, including chargeback rights with your card issuer.

These Terms, our Privacy Notice, and any additional feature-specific terms constitute the entire agreement between you and Offa Labs.

If any provision is found unenforceable, the remaining provisions continue in full force.

Our failure to enforce any provision is not a waiver of that provision.

You may not assign your rights without our consent. We may assign ours without restriction.

These Terms are governed by the laws of England and Wales, with exclusive jurisdiction in the courts of England and Wales.
